This agreement is made between you (hereinafter referred to as "you" or "your") and Binfin. By accessing, using, or clicking "I agree" on any services provided by Binfin on its website(s) (including mobile applications) or other related services provided by Binfin or any of its affiliates as further described in Section 4 below (collectively referred to as "the Services"), you confirm that you have read, understood, and accepted all terms and conditions set forth in this Terms of Use Agreement (hereinafter referred to as "the Terms of Use"), as well as our published Privacy Statement. Additionally, when using certain features of the Services, you may also need to comply with additional terms and conditions applicable to those features. Please read these terms governing the use of the Services carefully.
The Terms of Use contain important provisions, including an arbitration provision that requires all claims to be resolved through binding arbitration.
The arbitration clause is set forth in Section 14 below, titled "Dispute Resolution: Arbitration Location, Arbitration, Class Action Waiver, Governing Law." Like any asset, the value of digital transactions may fluctuate, and there is a significant risk that you may incur financial losses when buying, selling, holding, or investing in digital transactions. By using the Services, you confirm and agree that:
(1)You understand the risks associated with digital transactions;
(2)You assume all risks related to your use of the Services and engaging in digital transactions;
(3)Binfin is not responsible for such risks or adverse outcomes.
By accessing, using, or attempting to use the Services in any capacity, you confirm that you accept and agree to be bound by the Terms of Use. If you do not agree, please do not access or use this product.
1.Agreement Conditions
Binfin reserves the right to modify or change the Terms of Use at any time at its sole discretion. Binfin will notify you of changes by updating the revised terms on the webpage and modifying the [latest revision date] displayed on this page. Any and all modifications or changes to the Terms of Use will take effect immediately upon publication on the website or after being sent to users. Therefore, your continued use of Binfin's services indicates acceptance of the modified agreement and rules. If you do not agree to any modifications to the Terms of Use, please stop using the Services immediately. Binfin encourages you to review the Terms of Use regularly to ensure you understand the terms and conditions applicable to your access to and use of this product.
2.Eligibility
By registering to use a Binfin account (as defined in Section 5 below), you represent and warrant that you:
(a) are at least 18 years of age or of the legal age to enter into a binding contract under applicable law;
(b) are an individual, corporation, or other organization with full legal capacity and authority to enter into these Terms of Use;
(c) have not previously had your eligibility to use the Services suspended or revoked;
(d) do not currently have a Binfin account. If you are an employee or agent of a legal entity and are entering into these Terms of Use on behalf of that entity, you represent and warrant that you have all necessary rights and authority to bind that legal entity.
3. Prohibited Use Terms
By accessing and using this service, you represent and warrant that you are not listed on any trade or economic sanctions list (such as the United Nations Security Council sanctions list). Binfin reserves the right to choose the markets and jurisdictions in which it operates and may, at its discretion, restrict or refuse to provide this service in certain countries.
4. Service Description
Binfin provides an online digital asset trading platform for products commonly referred to as digital collectibles, digital tokens, or digital collectibles (collectively referred to as "digital transactions"). Binfin does not provide fiat currency trading functionality as part of this service. Binfin acts solely as a provider of the trading platform and not as a buyer or seller on behalf of either party. Binfin is not a currency dealer.
As further detailed in Section 5 below, users must register with Binfin and open an account, and deposit digital assets before starting to trade. Traders can apply to withdraw digital assets but must comply with the restrictions set forth in these terms of use. Although Binfin strives to maintain the accuracy of the information published on this service, it cannot and does not guarantee the accuracy, applicability, reliability, completeness, enforceability, or suitability of the content provided through this service, nor does it assume any responsibility for any loss or damage that may result directly or indirectly from your use of such content.
Information about this service may change without notice, and the primary purpose of providing this information is to assist users in making independent decisions. Binfin does not provide investment or advisory services and is not responsible for the use or interpretation of information on this service or other communication media. All users of this service must understand that there are risks associated with digital transactions. Binfin encourages all users to act cautiously and trade responsibly within their means.
5. Binfin Account Registration and Requirements
a. Registration
All users of this service (hereinafter referred to as "users") must apply to register a Binfin account before using this service. When registering an account, you must provide your real name, email address, and password, and accept these terms of use, privacy statement, and consent. Binfin may, at its discretion, refuse to open an account for you. You agree to provide complete and accurate information when opening an account and to update any information you provide to Binfin in a timely manner to maintain its completeness and accuracy. Each registration is for one user only, and each user (including any user belonging to a business or legal entity) may only open one active Binfin account.
b. User Identity Verification
By registering an account on the Binfin website, you agree to provide personal information required for identity verification. This information is specifically used to detect clues related to money laundering, terrorist financing, fraud, and other financial crimes occurring on the Binfin platform. We will collect, use, and share this information in accordance with our published Privacy Statement. In addition to providing this information, you agree to allow us to retain records of this information for the duration of your account and for five years after the account is closed, in order to comply with global data retention industry standards. You also authorize us to conduct investigations directly or through third parties necessary to verify your identity or protect you and/or us from financial crimes (such as fraud). The identity verification information we require may include, but is not limited to, your: name, email address, contact information, phone number, username, government-issued identification, date of birth, and other information collected at the time of account registration. By providing this required information, you confirm that it is true and accurate. After registration, you must ensure that the information is true and complete, and update it promptly if there are any changes. If there is any reason to suspect that any information you provided is incorrect, untrue, outdated, or incomplete, Binfin has the right to send you a notice requesting correction, directly delete the relevant information, and (as applicable) terminate all or part of the services provided to you. If you cannot be contacted using the provided contact information, you will be fully responsible for any losses or expenses incurred during your use of this service. You hereby confirm and agree that you have an obligation to update all information promptly in the event of any changes. By registering an account, you hereby authorize Binfin to conduct investigations directly or through third parties that Binfin deems necessary to verify your identity or protect you and/or others from fraud or other financial crimes, and to take actions deemed necessary based on the results of the investigation. You also confirm and agree that your personal information may be disclosed to credit agencies and fraud prevention or financial crime prevention departments, which may respond comprehensively to our investigations.
c. Account Usage Requirements
Accounts may only be used by the account registrant. Binfin reserves the right to suspend, freeze, or cancel access to the account by anyone other than the account registrant. If you suspect or discover any unauthorized use of your username and password, you must immediately notify Binfin. Binfin is not responsible for any loss or damage resulting from the use of your account by you or any third party (whether or not authorized by you).
d. Account Security
Binfin is committed to maintaining the security of user funds entrusted to it and has implemented industry-standard protections for its services. However, individual user actions can create risks. You agree to treat your access credentials (such as your username and password) as confidential information and not to disclose such information to any third party. You also agree to be solely responsible for taking the necessary security measures to protect your account and personal information. You are solely responsible for safeguarding your Binfin account and password and for all activities that occur under your account. Binfin is not liable for any loss or consequences resulting from the authorized or unauthorized use of your account credentials, including but not limited to information disclosure, information publication, agreeing to or submitting various rules and agreements by clicking on websites, online renewal agreements, etc. By creating an account, you hereby agree to:
(1) Immediately notify Binfin if you become aware of any unauthorized use of your Binfin account and password or any other security rule violations.
(2) Strictly comply with the security, authentication, transaction, fee, logout mechanisms, or procedures of the website/service.
(3) Take appropriate steps to log out of the website at the end of each visit.
6.Service Usage Guidelines
a. License
Provided that you continue to comply with the terms and conditions specified in these Terms of Use, Binfin grants you a revocable, limited, royalty-free, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for your personal internal purposes through your computer or internet-compatible device. You may not use the Service for resale or commercial purposes, including conducting transactions on behalf of others or entities. All of the above uses are expressly prohibited and constitute a serious violation of these Terms of Use. The content arrangement, format, functionality, and access to the Service shall be determined by Binfin at its discretion. Binfin hereby reserves all rights not expressly granted in these Terms of Use. Therefore, you are prohibited from using the Service in any manner not expressly authorized by these Terms of Use. These Terms of Use grant you a limited license only to access and use the Service. Therefore, you agree that Binfin will not transfer to you or any other person any ownership or intellectual property rights in the Service or any intellectual property of Binfin. All text, graphics, user interfaces, visual interfaces, photographs, sounds, artwork, computer code (including HTML code), programs, software, products, information, and documents, as well as the design, structure, selection, coordination, expression, "look and feel," and arrangement of any content included in or provided through the Service, are exclusively owned, controlled, and/or licensed by Binfin or its members, parent companies, licensors, or affiliates. Binfin will own any feedback, suggestions, ideas, or other information or materials ("Feedback") that you provide to Binfin via email, the Service, or otherwise regarding Binfin or the Service. You hereby assign all rights, title, and interest in and to any Feedback and all related intellectual property rights to Binfin. You will have no right to claim or seek compensation based on any Feedback or any modifications made based on any Feedback.
b. Restrictions
When you use the Service, you agree and undertake to comply with the following:
i. All activities you conduct while using the Service will comply with applicable laws, regulations, and various guidelines of Binfin;
ii. Your use of the Service will not violate public interest, public morals, or the legitimate interests of others, including taking any actions that interfere with, disrupt, negatively affect, or prohibit other users from using the Service;
iii. You agree not to use the Service for market manipulation (e.g., price manipulation, wash trading, self-dealing, front-running, spoofing, or layering, regardless of whether such actions are prohibited by law);
iv. The following commercial uses of Binfin data are prohibited unless you have obtained written consent from Binfin:
(1) Trading services that use Binfin's quotes or market announcement board information.
(2) Data feed or data stream services that utilize any market data from Binfin.
(3) Any other websites/apps/services that charge for market data obtained from Binfin or otherwise profit commercially (including through advertising or referral fees).
(4) You may not modify, copy, reproduce, download, store, further transmit, distribute, transfer, disassemble, broadcast, publish, remove, or change any copyright notices or labels, license, sublicense, sell, mirror, design, rent, lease, grant property rights, or create derivative works from any part of the property without Binfin's prior written consent.
(5) You may not use any "deep links," "page scraping," "robots," "spiders," or other automated devices, programs, scripts, algorithms, or methods, or any similar or equivalent manual processes to access, acquire, copy, or monitor any part of the property, or to replicate or bypass the navigation structure or presentation of the Service in any way to obtain or attempt to obtain any materials, documents, or information not intentionally provided through the Service;
(6) Attempting to gain unauthorized access to any part or feature of the property, or to any other system or network connected to the Service or any Binfin server or through the Service provided by any other service, by hacking, password "mining," or any other illegal or prohibited means;
(7) Exploring, scanning, or testing the vulnerabilities of the Service or any network connected to the property, and you may not violate the security or authentication measures of the Service or any network connected to the Service;
(8) Reverse look-up, track, or seek to track any other user or visitor of the Service;
(9) Taking any action that imposes an unreasonable or disproportionate load on the infrastructure of the Service or the systems or networks of Binfin or any systems or networks connected to the Service;
(10) Using any device, software, or routine to interfere with the normal operation of the Service or any transactions conducted on the Service, or the use of the Service by any other person;
(11) Falsifying headers, impersonating others, or otherwise manipulating identifiers to disguise your identity or the source of any message or transmission you send to the Service, or using the Service in an illegal manner.
By accessing the Service, you agree that Binfin has the right to investigate any conduct related to these Terms, unilaterally determine whether you have violated these Terms of Use, and take action to enforce applicable laws without your consent or prior notice. Examples of such actions include but are not limited to:
Blocking and closing order requests, freezing accounts;
Reporting incidents to authorities;
Publishing alleged violations and actions taken;
Deleting any illegal information you have posted;
7.Orders and Service Fees
a. Orders
After issuing instructions to conduct transactions using the Service ("Order"), your account will be updated immediately to reflect open orders, while your order will be listed on Binfin's market announcement board to match other users' orders. If your order matches in whole or in part with another user's order, the Service will execute the exchange ("Transaction"). After the transaction is executed, your account will be updated to reflect that the order has been closed due to full execution, or it will be updated to reflect that the order has been partially fulfilled. Orders will remain in an "incomplete" status until they are fully executed or canceled in accordance with subsection (b) below. To complete the transaction, you authorize Binfin to temporarily control the digital transactions you are disposing of in the transaction.
b. Cancellation
You may only cancel an order initiated through the Service before your order matches with another user's order. Once your order matches with another user's order, you may not change, revoke, or cancel Binfin's authorization to complete the order. If any order has partially matched, you may cancel the unmatched portion of the order, but you may not cancel the unmatched portion if it has already matched. Binfin reserves the right to refuse any cancellation requests related to the order after you submit the order. If you do not have a sufficient quantity of digital currency in your account to fulfill the order, Binfin may cancel the entire order or fulfill the portion of the order that can be covered by the digital transactions in your account (in each case, after deducting any fees due to Binfin related to the transaction, as described in subsection (c) below).
c. Fees
You agree to pay the fees specified by Binfin, and Binfin may update the service fees at any time at its discretion. Any updated fees will apply to any purchases or other transactions occurring after the effective date of the updated fees. You authorize Binfin to deduct any applicable fees owed by you under these Terms of Use from your account.
8. Liability
a. Disclaimer of Warranties
To the maximum extent permitted by applicable law, this service, the materials from Binfin, and any products, services, or other items provided by Binfin or on behalf of Binfin are provided on an "as is" and "as available" basis. Binfin expressly disclaims, and you also disclaim, all other warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement, or warranties arising from the course of performance, course of dealing, or usage of trade. Without limiting the foregoing, Binfin makes no representations or warranties regarding the accuracy, completeness, reliability, effectiveness, error-free, or virus-free nature of the website, services, or Binfin materials. Binfin does not guarantee that any orders will be executed, accepted, recorded, or maintained in an open status. Except for the express statements set forth in this agreement, you acknowledge and agree that you have not relied on any other written or oral statements or agreements in using and obtaining this service. Without limiting the foregoing, you understand and agree that Binfin is not responsible for any loss or damage arising from or related to:
(A) inaccuracies, defects, or omissions in digital transaction price data;
(B) any errors or delays in such data transmission;
(C) interruptions of such data, and any damages caused by the actions, inactions, or violations of this agreement by other users. If the implied warranty disclaimer contained in this agreement is prohibited by the applicable laws of your jurisdiction, it may not apply to you.
b. Disclaimer of Damages and Limitation of Liability
To the maximum extent permitted by applicable law, Binfin, its affiliates, and their respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers, or contractors shall not be liable for any incidental, indirect, special, punitive, consequential, or similar damages or liabilities (including but not limited to losses of data, information, revenue, profits, or other business or financial advantages) arising from any performance or non-performance of this service or any other products, services, or other items provided by Binfin and its affiliates or on behalf of Binfin, regardless of the legal theory under which such damages are sought, even if Binfin has been advised of the possibility of such damages, unless a final judicial determination establishes that such damages were caused by Binfin's gross negligence, fraud, willful misconduct, or intentional wrongdoing. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. Notwithstanding the foregoing, in no event shall Binfin, its affiliates, or their respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers, or contractors be liable for any service provided by Binfin or its affiliates or for any performance or non-performance of such service, or for any other products, services, or other items, regardless of the legal theory under which liability is asserted, in an amount exceeding the total fees you paid to Binfin under this agreement during the twelve months preceding the event giving rise to the liability claim.
c. Indemnification
You agree to indemnify and hold harmless Binfin, its affiliates, contractors, licensors, and their respective directors, officers, employees, and agents from any claims, lawsuits, proceedings, investigations, demands, suits, costs, expenses, and damages (including attorneys' fees, fines, or any penalties imposed by regulatory authorities) arising from or related to:
(i) your use of the service or any actions related to the service;
(ii) your violation of these terms of service or our enforcement of these terms;
(iii) your violation of any applicable laws, regulations, or rights of any third party during your use of the service. If you have an obligation to indemnify Binfin, its affiliates, contractors, licensors, and their respective directors, officers, employees, or agents under these terms of service, Binfin shall have the right to control any litigation or proceeding and to determine whether Binfin wishes to settle and, if so, on what terms.
9. Announcements
Please note that all official announcements, news, promotions, contests, and airdrops will be published on Binfin, and we encourage all users to review this information regularly. Binfin shall not be liable for any personal losses suffered by users due to their ignorance or negligence regarding announcements.
10. Termination of Agreement
You agree that Binfin has the right to immediately suspend your account (and any accounts beneficially owned by affiliated entities or parties) for any reason, freeze or lock all funds in such accounts, and suspend your access to Binfin, including if it suspects that any such accounts have violated these terms of service, our privacy statement, or any applicable laws or regulations. You agree that Binfin shall not be liable for any permanent or temporary modification to your account or for suspending or terminating access to all or part of the service. Binfin has the right to retain and use transaction data or other information related to the account. The above account control may also apply in the following cases:
The account is subject to governmental proceedings, criminal investigations, or other pending litigation;
We detect unusual activity in the account;
We detect unauthorized access to the account;
We must do so pursuant to a court order or order from regulatory/government agencies. If any of the following events occur, Binfin has the right to terminate this agreement directly by canceling your account and to permanently freeze (cancel) the authorization granted to Binfin regarding the account and revoke the corresponding Binfin account:
After Binfin has terminated services to you;
You are identified as registering again directly or indirectly as a Binfin user in the name of any other person;
The information you provide is untrue, inaccurate, outdated, or incomplete;
You explicitly state and notify Binfin that you do not wish to accept the modified terms when the terms of service are amended;
You request termination of the service;
Any other situation in which Binfin believes the service should be terminated. If your account is terminated, account and transaction information that meets data retention standards will be securely retained for five years. Additionally, if there are transactions that have not been completed during the account termination process, Binfin has the right to inform your counterparties of the status at that time. You agree that user-initiated account exits (the right to erasure under GDPR or other equivalent regulations) will also be subject to the above termination agreement. If Binfin is informed that any funds in your account have been stolen or are not legitimately owned by you, Binfin may, but is not obligated to, control the affected funds and your account. If it is necessary to manage control over part or all of the funds or account, Binfin may continue to hold them until the dispute is resolved and evidence of a resolution acceptable to Binfin has been provided in a form acceptable to Binfin. Binfin will not participate in the resolution of any such disputes or disagreements. You agree that Binfin shall not be liable for any such control or for your inability to withdraw funds or execute transactions during such control.
a. Remaining Funds After Account Termination
Except as provided in the following (b) section, once the account is closed/canceled, all balances in the account (including fees and debts owed to Binfin) will be immediately payable to Binfin. After paying all outstanding fees to Binfin (if any), users will have five business days to withdraw all funds from the account.
b. Remaining Funds After Account Termination Due to Fraud, Illegality, or Violation of Terms
Binfin reserves full custody of funds and user data/information, and in the case of account suspension/closure due to fraud investigations, illegal investigations, or violations of these terms, such funds and user data/information may be turned over to government authorities.
11. Non-Financial Advice
Binfin is not your broker, intermediary, agent, or advisor. There is no fiduciary relationship or fiduciary duty between Binfin and you in any transaction or other decisions or activities you undertake using this service. Any communication or information provided by Binfin should not be considered as or interpreted as investment advice, financial advice, trading advice, or any other type of advice. All transactions are automatically executed based on the parameters of your order instructions and the published transaction execution procedures. You should determine whether any investment, investment strategy, or related transaction is suitable for you based on your personal investment goals, financial situation, and risk tolerance, and you are solely responsible for it.
For your specific situation, you should consult a legal or tax professional. Binfin does not recommend the purchase, acquisition, sale, or holding of any digital currency. Before making any decisions to purchase, sell, or hold any digital transactions, you should conduct due diligence and consult your financial advisor before making any investment decisions. Binfin is not responsible for any decisions you make to purchase, sell, or hold digital transactions based on the information provided by Binfin.
12. Compliance with Local Laws
Users are responsible for complying with local laws related to their use of Binfin services. Users must also consider all aspects of taxation under local laws, including withholding, collection, reporting, and remitting to the relevant tax authorities. All users of Binfin and its services confirm and declare that their funds are legally sourced and not derived from illegal activities. Binfin is committed to cooperating with global law enforcement agencies and will not hesitate to seize, freeze, terminate, legally authorize the cancellation of, or investigate user accounts and funds.
13. Privacy Statement
Accessing this service requires submitting certain personal identification information. Please read the published Binfin Privacy Statement for a summary of Binfin’s practices regarding the collection and use of personal identification information.
14. Dispute Resolution: Arbitration Location, Arbitration, Class Action Waiver, Governing Law
Please read this section carefully as it involves waiving certain rights to initiate legal action.
a. Dispute Notice
Please contact Binfin first! Binfin hopes to resolve your concerns without resorting to formal legal proceedings. Before making a claim, you agree to first contact Binfin to resolve the dispute informally.
b. Arbitration Agreement
You and Binfin agree to resolve any claims related to this agreement (including any issues regarding the existence, validity, termination of this agreement, or any services or products we provide, as well as any statements we make) through final and binding arbitration, unless otherwise specified in the exceptions to this arbitration agreement. You agree to first contact Binfin as stated in subsection (a) to give us the opportunity to resolve any claim. If we cannot resolve your claim within 60 days of receiving the notice, you may seek relief through arbitration or small claims court as specified below.
c. Arbitration Procedure
You or Binfin may submit the dispute (after attempting to resolve it amicably according to subsections (a) and (b)) to binding arbitration in accordance with the arbitration rules of the International Arbitration Court (which are incorporated by reference into this agreement). The arbitration tribunal shall consist of a sole arbitrator appointed by the Chairman of the LCIA. The language of the arbitration hearing shall be English, and the location of the arbitration or the legal venue shall be New York. Judgments on any arbitration award may be entered in any court having jurisdiction over the party against whom the award was made (or that party’s assets).
d. Exceptions
Conversely, if the claim falls within the jurisdiction of a small claims court, either party may choose to assert the claim in small claims court, and either party may seek injunctive relief or other emergency equitable relief in a court of competent jurisdiction. However, for the avoidance of doubt, if the claim is not within the jurisdiction of the small claims court, the claim shall be submitted to arbitration for final resolution.
e. Notification
To initiate arbitration, you must send a request for arbitration and a description of the claim to the International Arbitration Center. If we apply for arbitration against you, we will notify you at the email address or street address you provided. Please refer to the rules and submission instructions.
f. Governing Law
This agreement is governed by the laws of New York, excluding its conflict of law principles, unless required otherwise by the mandatory laws of any other jurisdiction.
15. Notices
If your trading actions result in the freezing of funds from OTC merchants or other users (trading methods include but are not limited to transactions made via bank cards, etc.), then:
(1) If the merchant's funds are frozen for less than six months, Binfin has the right to freeze your trading account without any prior notice and request you to provide all necessary transaction information, including but not limited to providing KYC information in video form (KYC information details can be found in the "Binfin KYC and Anti-Money Laundering Agreement"), fund flows, etc. If the merchant's funds are successfully unfrozen, you can apply to Binfin for the unfreezing of your trading account.
(2) If the merchant's funds are frozen for more than six months, in addition to the rights specified in paragraph 1 of this section, Binfin has the right to request that you provide assets as a trading margin.
16. Miscellaneous
a. Independent Parties
In performing this Terms of Use, Binfin is an independent contractor and not your agent. This Terms of Use should not be interpreted as evidence of a joint venture, partnership, or franchise between the parties.
b. Entire Agreement
This Terms of Use constitutes the entire agreement between the parties regarding the use of this service and supersedes all prior written or oral agreements between the parties. The parties may not modify, interpret, supplement, or change the terms of this Terms of Use through transaction or other customary practices or methods.
c. Force Majeure
Binfin shall not be liable for any delays or failures to perform any obligations under this Terms of Use due to any causes or conditions beyond its reasonable control.
d. Severability
If any part of this Terms of Use is found to be invalid or unenforceable, such invalidity or unenforceability shall not affect the remaining provisions of this Terms of Use, which shall remain in full force and effect, while the invalid or unenforceable part shall be effective to the maximum extent permissible.
e. Assignment
You may not assign or transfer any rights or obligations under this Terms of Use, including those related to legal enforcement or changes in control, without our prior written consent. Binfin may assign or transfer all or part of its rights or obligations under this Terms of Use without notice or obtaining your consent or approval.
f. Waiver
A party's failure to demand performance of any provision does not affect that party's right to demand performance at any later time, and a waiver of any breach of this Terms of Use or any applicable provisions does not constitute a waiver of any subsequent breach or violation or a waiver of the provisions themselves.
g. Disclaimer of Third-Party Websites
